These Terms and Conditions govern the provision of services by True North IT Consullting (“Company,” “we,” or “us”) to clients across America, the USA, and the GCC. By engaging our services, you agree to the conditions outlined below.
These terms apply to all services including Website Development USA, Web Design America, Website Maintenance Services USA, SEO Services America, Digital Marketing Services, and related technical solutions.
1. General Terms
All services are provided based on a mutually agreed scope of work. Any additional features, revisions, or changes beyond the approved scope may be subject to separate quotation.
Project timelines depend on timely client communication, content submission, and approvals. Delays in required inputs may affect delivery schedules.
All pricing is exclusive of applicable USA taxes unless otherwise specified.
2. Website Development Services
Website Development projects are executed based on the documented proposal or agreement. The scope includes only the features explicitly mentioned in the quotation.
Design approvals must be confirmed before development proceeds to the next phase. Major changes after approval may incur additional charges.
Final website files, access credentials, and administrative login details will be provided after full payment clearance.
The Company is not responsible for third-party platform outages, hosting interruptions, or software changes beyond its operational control.
3. eCommerce Website Development
For eCommerce Website Development USA projects, clients are responsible for:
Providing accurate product information
Ensuring compliance with payment gateway regulations
Managing inventory and tax configurations
Payment gateway approvals depend on the respective financial institution. The Company does not guarantee approval timelines.
Ongoing updates, product uploads beyond agreed limits, and extended integrations are subject to additional charges.
4. Website Maintenance and AMC Services
Website Maintenance Services USA are provided under annual or monthly support plans as defined in the agreement.
Monthly support hours are limited to the allocated package. Unused hours do not roll over unless otherwise specified.
Time spent on calls, meetings, troubleshooting, and support communication may be adjusted against allocated support hours.
Emergency fixes outside agreed scope may be billed separately.
The Company is not liable for issues arising from third-party plugin conflicts, unauthorized access by the client, or external hosting failures.
5. SEO Services
SEO Services America are provided as ongoing optimization services. Search engine rankings depend on multiple external factors beyond direct control.
No guarantees are provided for specific keyword rankings, traffic volumes, or search engine positions.
SEO results typically require time and may vary based on competition, website condition, and market trends.
6. Social Media and Digital Marketing Services
Digital marketing campaigns, including PPC Services America and Social Media Management USA, are executed based on agreed strategy.
Advertising budgets are separate from service fees.
Campaign performance may vary due to platform algorithm updates, market competition, and audience behavior.
The Company does not guarantee specific conversion rates or revenue outcomes.
7. Content and Intellectual Property
Clients must provide original content or confirm ownership rights for all materials submitted.
The Company is not responsible for copyright claims arising from client-provided content, images, logos, or media.
Upon full payment, the client receives usage rights to the completed website or marketing materials unless otherwise agreed.
The Company may retain rights to internal frameworks, coding standards, or development methodologies.
8. Payment Terms
Payment schedules are defined in the proposal. Projects may require advance payment before commencement.
Delayed payments may result in project suspension.
Renewal fees for hosting, domain registration, and Website AMC Services USA must be paid before expiry to avoid service disruption.
9. Confidentiality
All business information shared during the engagement is treated as confidential. Both parties agree not to disclose proprietary information without consent.
10. Limitation of Liability
The Company shall not be liable for indirect losses, business interruption, loss of revenue, or data loss arising from service usage.
Liability, if applicable, is limited to the amount paid for the specific service in question.
11. Termination
Either party may terminate the agreement with written notice. Payments made for completed work are non-refundable.
Work completed up to the termination date will be invoiced accordingly.
12. Governing Law
These Terms and Conditions are governed by the applicable laws and regulations of the United Arab Emirates.
13. Modifications
True North IT Consullting reserves the right to modify these Terms and Conditions at any time. Updated terms will be published on the website.
